Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LogicSeal platform, website, and API (collectively, the "Service"), owned and operated by Drivingseat LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you ("User", "you", or "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, fund, or other legal entity, you represent that you have the authority to bind such entity.

Your use of the Service is also governed by our Acceptable Use Policy, which forms part of these Terms.

1. Description of Service & Disclaimers

LogicSeal provides an immutable cryptographic infrastructure and Small Language Model (SLM) adjudication engine (the "Duality Engine") designed to parse, hash, and evaluate autonomous trading intents against ingested regulatory text.

1.1 Not Legal or Financial Advice:The Service is a software tool for data processing and record-keeping. Drivingseat LLC is not a law firm, a registered broker-dealer, an investment advisor, or a regulatory body. The outputs of the Service, including any "Exam Defense," "Confidence Scores," or "Pass/Fail" verdicts, do not constitute legal advice, financial advice, or a guarantee of compliance with the SEC, FINRA, or any other regulatory agency.

1.2 User Responsibility: You maintain full, absolute responsibility for all trading execution, risk management, and regulatory compliance within your organization. You agree not to rely solely on the Service for compliance verification.

2. Account Tiers and Access

2.1 Subscriptions: The Service is offered in tiered subscriptions (e.g., Builder, Sentinel, Fortress). You agree to pay all applicable fees associated with your selected tier.

2.2 Usage Limits: Tiers are strictly subject to their stated capacity limits, which include both total monthly volume (e.g., 100, 50,000, or 250,000 cryptographic seals per month) and per-request API payload caps (e.g., bulk hash limits of 50 or 250 intents per request). Drivingseat LLC reserves the right to throttle, reject payloads, suspend, or require an upgrade for accounts exceeding these limits.

2.3 Reverse Engineering: You shall not attempt to reverse engineer, decompile, or otherwise derive the source code, SLM prompts, or proprietary vectorization methodologies (including our custom markdown chunking logic) utilized by the Service.

3. Data Ownership and Cryptography

3.1 User Data:You retain all ownership rights to the raw trade intents and proprietary data payloads submitted to the Service ("User Data").

3.2 Merkle Roots: The Service generates cryptographic hashes and Merkle Roots based on your User Data. Drivingseat LLC retains all rights to the underlying infrastructure, software, and methods used to generate these mathematical proofs.

3.3 Data Privacy: Our collection and use of personal and organizational data are governed by our Privacy Policy. By using the Service, you consent to the processing of your data as described therein.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DRIVINGSEAT LLC, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, TRADING LOSSES, REGULATORY FINES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF DRIVINGSEAT LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. "As Is" Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the SLM will successfully identify every compliance violation or that the Merkle hashing process will be uninterrupted.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Collin County, Texas, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

7. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of these Terms and maintaining a notice on our platform. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
